Terms and Conditions

The Terms set out below constitute a legally binding agreement between You (“The Client”) and HTMLME.COM (“The Company”), hereinafter called “Parties”.

1. Definitions

1.1 HTMLME.COM Services

HTMLME.COM shall duly provide the services as agreed. A list of services shall be made at the beginning of the project, after The Client has submitted a proper Service Order and project files to HTMLME.COM.

1.2 Service Provision

a. Start date: HTMLME.COM shall start providing services on the first business day after the purchase.

b. Completion date: The completion date shall be provided to the Client after the Client has submitted all the necessary project files and stated all the details.

c. Delays: The Client and HTMLME.COM agree to work together to complete the project in a timely manner. However, if an unforeseen event happens, causing a project delivery delay, HTMLME.COM shall offer some form of compensation up to the original project cost. After having received the compensation, the Client cannot make any further claims to HTMLME.COM. Total amount filed as a claim cannot go beyond the original project cost.

1.3 Project Delivery

After the work on the project is completed, HTMLME.COM shall send it in .zip files to the Client. In case the Client requested a project to be delivered in a specific way, HTMLME.COM shall comply with their request if other is not specified in this Agreement.

1.4 Prices

The price varies in accordance with the number and character of services requested by the Client. A listing of all such services is made and the total project cost is evaluated, then HTMLME.COM submits an invoice detailing its time and expenses. Before the purchase, the final sum will be seen in the client area of the HTMLME.COM website. The Client is to make sure if he agrees with the sum.

1.5 Payment

The Parties agree on the project total cost before they start working on it. Any amounts payable (including various additional expenses that may arise in a course of work) under this Agreement don’t include any taxes, fees and duties, collected by any government body, and are to be paid by the Client as well as the total cost of the project.

2. General terms

2.1 Intellectual Property Rights

HTMLME.COM agrees to grant the Client with a Non-Disclosure Agreement (NDA), stating that any material, information, files, pictures related to the project will not be shared with the third parties or used in any other way not related to the work on the project. The material specifically created for the Client as part of the services by other persons or companies belongs to such persons and companies; therefore, they hold all the intellectual property rights on it. HTMLME.COM agrees that the project is sold to the Client with a full title guarantee, and any data and material it contains belongs to them after the project is completed and in the course of work on it as well.

2.2 Warranty

HTMLME.COM guarantees that:

  • The work on the project will be executed professionally and with utmost care;
  • Services and files provided by HTMLME.COM to you under this Agreement will not infringe or violate any intellectual property rights.

2.3 Term and Termination

This Agreement comes into force from the date of purchase and is valid till complete fulfillment of the obligations by the Parties, unless terminated halfway.

Either Party may withdraw unilaterally from this Agreement on the following conditions:

Within 30 days upon the written notice if the other Party has violated a contract and the effect is irreversible (in case it is reversible, same rules apply nevertheless);

If one Party volunteers to terminate this Agreement, and the other agrees.

2.4 Relationship between the Parties

Both Parties acknowledge and agree that nothing in this Agreement shall be deemed to constitute a partnership, joint venture, agency relationship or any other type of company between them. HTMLME.COM provides all the PSD to HTML and other services as an independent contractor.

2.5 Notices

Any notice may be given by a Party under this Agreement, if delivered through the customer’s account on HTMLME.COM’s website, shall be deemed to have been duly delivered.

2.6 Miscellaneous

The failure of either Party to enforce their rights under this Agreement at any time shall not be regarded as a violation. If one part of this Agreement turns out to be illegal, it shall not affect the remaining ones.

Neither Party shall transfer their rights or any part of their rights under this Agreement to the third Parties without prior written consent of the other Party. This Agreement may not be amended for any other reason without the prior written agreement of both Parties.

This Agreement confirms the understanding between the Parties regarding PSD to HTML services and/or platform implementation, unless one of the Parties was represented by the impostors. In that case, any prior representations, writings, negotiations or understandings are superseded with the new ones.

Neither Party shall be hold responsible for obligation default or delay in fulfilling any obligation under this Agreement if such default or delay is caused by any circumstances beyond control of the Parties, including but not limited to power failure, fire, flood, acts of God, labor disputes, riots, acts of war and epidemics. If such delay continues for at least 7 days, the Party not affected by it shall be entitled to terminate this Agreement upon the written notice to the other Party.

This Agreement shall be under the jurisdiction of the country where the Client is located (“the Territory”), or where the Client’s headquarters are based, in case the Territory includes more than one country. The Parties agree to take all the disputes that may arise in the course of work under this Agreement to the courts in the Territory.

Editing Terms

After HTML/CSS has been approved by the Client, HTMLME.COM can still make some changes to the details such as fonts, alignment, JS effects if necessary. The Client will have 3 rounds of edits, in order to have a possibility to voice opinions and suggestions. If such a change requires extra efforts, it will be charged an extra fee.

A round is defined as a list of edits HTMLME.COM programmers need to make. Once the first round of changes is completed and the Client still is not satisfied with the outcome, a second and a third round can be ordered.

After 3 rounds have been completed, the Client may ask for more changes, but they will be charged extra.

The programmers will require a listing of all the changes expected by the Client (with screenshots if possible), so that they their response to the Client’s request could be fast and efficient.

If the project is manages by CMS, it can be edited, too, but the changes that can be made only relate to functionality (widgets, plugins, some code sequences). In that case, the HTML/CSS code previously approved by the Client will be used.

Making a payment for one of the HTMLME.COM services, you hereby accept the terms and conditions of this Agreement.
